How this role drives the company forward:
TBUSA is seeking a Senior Corporate Counsel - Transactions to provide transactional legal support to our organization as part of our legal team. The ideal candidate will also provide high-quality legal advice to a range of wide range of internal clients, while exercising discretion, professionalism, and solid judgment. This position will be responsible for protecting the company’s interests while efficiently facilitating transactions.

The Senior Corporate Counsel – Transactions will be responsible for managing TBUSA contracts through inception, negotiation, internal approval, and execution. The Senior Corporate Counsel – Transactions will work together with Legal Operations to implement workflows and playbooks in our contract lifecycle management (CLM) software. The primary responsibility will be management of TBUSA’s day-to-day agreements, but the Senior Corporate Counsel may work with the VP, Legal on due diligence, licenses, complex agreements, and compliance matters.

The Senior Corporate Counsel – Transactions is an on-site role located in San Jose, CA.

Approximately 5% travel, including overnight, may be required.

How you will make an impact:
In this role, you will help the company meet its business goals by managing and facilitating the company’s agreements. When possible, you will provide efficient, pragmatic, and effective counsel to ensure that the contracting process doesn’t unnecessarily hold back our business goals. You will interact with employees throughout the company to understand the company’s business and ensure that the company’s interests are protected in our transactions. You will also protect the company’s interests by providing high quality legal advice and education on contracting and compliance issues.

What will you do:
Independently draft, review and negotiate a wide range of agreements to support our business units, such as: Non-Disclosure Agreements, Co-marketing Agreements, Collaboration Agreements, Materials Transfer Agreements, Sales, and Supply Agreements.
Resolve contracting issues using advanced win-win negotiation skills and expertise; negotiate with sophisticated counterparties including large biotechnology companies and academic institutions.
Project manage internal approval process for complex contracts; work cross-functionally with teams from Sales, Human Resources, Finance, R&D, Operations and Marketing to drive consensus.
Resolve legal and compliance issues using advanced win-win negotiation skills and expertise; negotiate with sophisticated counterparties.
Provide clear, practical and timely legal advice to internal business units on contract matters, including structuring, contract interpretation, compliance and enforcement, risk assessment, and legal and regulatory compliance; advise on intellectual property clauses and provisions in view of TBUSA’s technology.
Work collaboratively with legal operations to implement and continuously improve the use of CLM software; draft and implement contract templates and playbooks in CLM software.
Assist VP, Legal in drafting licensing agreements and performing due diligence on contracts and assets.
Partner closely with internal business units to understand contracting needs, optimize operations and prioritize work.
Train employees at all levels of the company on the contracting process.
Participate in the development, implementation and monitoring of policies, procedures and programs, working closely with and acting as a thought partner to the VP, Legal.
Maintain a current working knowledge of new laws, case law trends with respect to contracts and compliance issues relevant to TBUSA’s business.
This position does not have supervisory responsibilities.

How will you get here?
Juris Doctor (J.D.) from ABA accredited law school and active licensee of the California Bar in good standing or qualified to practice law as in-house counsel in California is required. Bachelor’s degree or higher in the biological sciences; academic credentials in intellectual property is preferred.
Minimum 8 years of relevant experience is required.
Experience drafting and negotiating contracts with an emphasis on life sciences transactions and intellectual property issues is required.
Combined corporate legal experience at a biotechnology, pharmaceutical, medical device or other life sciences company and law firm preferred.
